Strive (ASST) filed plans to sell 5 million Series A perpetual preferred shares carrying a 15 % annual dividend on a $100 par value. The move is aimed at raising fresh capital while Bitcoin prices remain elevated.
Net proceeds will support Bitcoin purchases, working-capital needs and potential acquisitions of complementary businesses. The company also left the door open to share buybacks of its existing classes.
A dividend reserve covering the first 18 months will be funded at $22.50 per share. Book-runners Barclays and Cantor are leading the effort alongside several co-managers, with payments scheduled to begin in November 2026.
The filing comes after Strive’s recent Bitcoin spree: 1,110 BTC acquired in August 2026 for $81.5 million and another 3,311 BTC bought last week for $276 million.
